Terms of Service

1. The Service

Aya is an AI assistant for founders and professionals. She converses with you in writing or by voice, reads the sources you choose to connect (such as Gmail, Google Calendar, Google Drive, Outlook and Microsoft 365, other mailboxes and calendars, Notion, Slack, Discord, HubSpot or Shopify), keeps your Brief of what needs your attention, prepares actions for your approval and remembers what matters for your work. She runs on Mac and Windows, with a phone app in preview. Some features are described on the Website as in development; they are not part of the Service until released.

The Service evolves regularly: features, availability and limits may change, and we may modify or discontinue parts of the Service. Where possible, we will announce significant changes in advance. Features marked as beta or preview (for example the phone app, the Windows app or business opportunities) may be less stable and may change or stop more often.

2. Eligibility and accounts

You must be at least 18 years old, or the age of legal majority in your country of residence if it is higher. The Service is designed for your professional activity, and you may also use it to organise your personal life. You sign in with your Google account or with your email address and a one-time code, and must keep access to that account secure. You are responsible for activity under your account and must notify us promptly of any unauthorised use.

3. Connected sources and third-party services

When you connect a source, you authorise Aya to access it with the permissions you grant, solely to provide the Service to you. Access is read-only unless you allow Aya to act on an address; every email sent and every event created or changed then requires your explicit approval of that specific action, and Aya sends from the address that received the conversation.

Third-party services (for example Google) are governed by their own terms and privacy policies. We are not responsible for their availability or content. You may disconnect a source at any time.

If you connect another AI assistant to Aya (for example ChatGPT or Claude) or give a webhook address to a tool, you choose what it may read or add; it can only propose changes, which you approve in Aya. You remain responsible for the tools you connect, and you can disconnect them at any time.

The same applies to the work tools you connect, such as Notion, Slack, Discord, HubSpot or Shopify: Aya reads them with the access you grant, and every page created, message posted, record changed, refund or order made in them in your name requires your explicit approval of that specific action. You must comply with each platform’s own terms, and you may only connect workspaces, servers, accounts and stores you are authorised to use.

If you install Aya on a Shopify store, you remain responsible towards your customers for the processing of their data and for informing them; we process it on your behalf, as described in the Privacy Policy.

A custom solution that Navi builds for you is governed by its own agreement; within Aya, it acts only through the commands and approvals described in the Privacy Policy.

4. Your data

You retain all rights in the content you submit and in the data from your connected sources ("Your Data"). You grant us a limited, worldwide, non-exclusive licence to host, process and transmit Your Data solely to provide, secure and support the Service, as described in our Privacy Policy.

You are responsible for having the rights and authorisations needed to connect your sources and to let Aya process the personal data they contain, including data about third parties.

5. Acceptable use

You must not, and must not allow others to:

• use the Service in violation of any law or third-party right;
• access data or accounts you are not authorised to access;
• attempt to bypass security, rate limits or access controls, or disrupt the Service;
• reverse engineer the Service except where the law expressly permits it;
• use the Service to generate unlawful, harmful, deceptive or infringing content;
• use the Service to build a competing product or to train AI models on its outputs;
• use Aya to send unsolicited or bulk messages (spam) through the tools you connect, or to post on behalf of other people without their authorisation;
• use the access Aya has to a tool beyond what its owner and the tool’s own terms allow.

6. AI output

Aya’s answers are generated by AI and may be incomplete or inaccurate. They are provided for information and do not constitute legal, financial, medical or other professional advice. You are responsible for reviewing output before relying on it or acting on it.

7. Your approvals and the people around you

Aya prepares, you approve. An email, an event, a change to a sheet or any other action leaves only after you approve it. You are responsible for what you approve and send in your name, and should read it first.

Before recording a conversation with the live transcription, you must inform the people present and obtain their consent where the law requires it. Aya reminds you each time.

Aya keeps information about the people you work with (contact cards, roles, meeting prep) to help you. You must use it lawfully and only for your own relationships.

When a routine or an automation prepares an action, the same rule applies: the action waits for your approval.

8. Intellectual property

The Service, the Website, their software, design and content, and the names Aya and Navi are owned by Navi or its licensors and protected by intellectual property laws. Except for the rights expressly granted in these Terms, no rights are transferred to you.

If you send us feedback or suggestions, we may use them without restriction or compensation.

9. Subscriptions and payment

Aya is offered as a paid subscription (Essential and Pro plans, monthly or yearly; a Pro+ plan has been announced), paid by card through Stripe. The content of each plan and its limits (for example the number of connected accounts, documents or meeting prep) are shown before you subscribe and in the app.

A free 14-day trial is offered once per account. Your card is requested at the start, nothing is charged during the trial, and we warn you before the first payment. At the end of the trial the subscription starts automatically, unless you have cancelled it.

You can cancel at any time from your subscription space; cancellation takes effect at the end of the current period. A period already started is not refunded, including for a yearly subscription, except in the cases set out in the section “Withdrawal and refunds” or where the law requires it. Prices are shown excluding taxes; the applicable VAT is added according to your country.

We may change our prices for the future; we will inform you in advance and the new price will apply from your next period. An access code we give you may grant a plan for a set period. Without an active plan or trial, you keep your account, but Aya stops working for you until you subscribe.

10. Withdrawal and refunds

Common rule: the free 14-day trial, offered once per account, lets you try Aya and change your mind at no cost. Simply cancel before the trial ends: nothing is charged. This cancellation and refund policy is shown to you before any subscription, on this page and at checkout.

Outside the cases below, a period already started is not refunded, including for a yearly subscription.

• European Union, European Economic Area and United Kingdom (consumers): you have a 14-day right of withdrawal from the date you subscribe, without giving any reason. During the free trial, cancelling before it ends is enough: nothing is charged. If you subscribe without a trial (for example a second subscription), you can withdraw within 14 days of subscribing; since you asked for the Service to start immediately, we refund the amount paid, less the share corresponding to the period already used, within 14 days of your request and by the same means of payment.
• United Arab Emirates (including Dubai): the applicable cancellation and refund policy is the one described in this section and in the section “Subscriptions and payment”. It does not limit the mandatory rights you have under the UAE Federal Law on Consumer Protection and UAE e-commerce legislation.
• People’s Republic of China: this policy does not limit the mandatory rights you have under the Law of the People’s Republic of China on the Protection of Consumer Rights and Interests or other applicable laws.

To cancel or withdraw, use your subscription space in the app or write to us at administration@naviassistant.ai; a clear statement of your decision is enough.

Nothing in these Terms limits the mandatory rights that the law of your country of residence grants to consumers.

11. Referral and partner programmes

A friend code gives your friend and you the rewards shown in Aya, as account credits, under the conditions shown there (for example that your friend’s first payment is not refunded and that you hold a paid subscription). Joining the partner programme requires accepting its own conditions, which then prevail for commissions.

12. Confidentiality

Each party will protect the other’s confidential information with reasonable care and use it only to perform these Terms. Your Data is treated as your confidential information.

13. Suspension and termination

You may stop using the Service and request deletion of your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users; where reasonable, we will notify you in advance. On termination, we delete Your Data in accordance with the Privacy Policy.

14. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

15. Limitation of liability

To the maximum extent permitted by law, Navi will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill.

Our total liability arising out of or relating to the Service in any twelve-month period is limited to the greater of the amounts you paid us for the Service during that period and one hundred US dollars (USD 100).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence or wilful misconduct.

16. Indemnity

You will indemnify Navi against claims, damages and costs (including reasonable legal fees) arising from your breach of these Terms, your unlawful use of the Service, or Your Data infringing the rights of a third party.

17. Force majeure

Neither party is liable for failure or delay caused by events beyond its reasonable control, including outages of third-party providers, network failures, natural disasters or acts of government.

18. Changes to these Terms

We may update these Terms. We will publish the new version on this page and, for material changes, notify you in advance through the Service or by email. Continued use after the effective date constitutes acceptance.

19. Governing law and disputes

These Terms are governed by the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates. The parties will first try in good faith to resolve any dispute amicably within thirty days of written notice. Failing that, the courts of Dubai, United Arab Emirates, have exclusive jurisdiction.

If you are a consumer, nothing in this section deprives you of the protection of mandatory provisions of the law of your country of residence or of your right to bring proceedings there.

20. General

These Terms, together with the Privacy Policy, form the entire agreement between you and Navi regarding the Service. If a provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. Custom automation services are governed by separate agreements.

These Terms may be translated; in case of inconsistency, the English version prevails.
